Abstract

Nowadays, the demands imposed by a globalized and competitive world require the adaptation of corporate relations. However, the rigidity of some laws and the rigorous qualification of official registries avoid the inclusion of clauses that promote greater corporate flexibility. Currently, a large number of companies use the shareholders‘ agreements to solve possible restrictions or situations which block the society. These types of agreements are those which are signed by all or some partners and, sometimes, also by the society. The aim of these agreements is to provide solutions to certain situations related with the functioning, organ-isation, or activity of a company. © 2021, CIRIEC. All rights reserved.

Bibliometric impact. Analysis of the contribution and dissemination channel

La aportación persigue los siguientes objetivos: analizar la validez jurídica de los pactos parasociales en el contexto de las cooperativas; evaluar la oponibilidad de dichos pactos frente a terceros y a la sociedad; determinar las limitaciones legales derivadas de la rigidez normativa y la calificación registral oficial; caracterizar el uso de los pactos parasociales como mecanismos para superar bloqueos o restricciones en la gestión societaria; y examinar cómo estos acuerdos contribuyen a la flexibilidad organizativa y funcional de las cooperativas en un entorno globalizado y competitivo.

Most relevant results

Los resultados más relevantes del estudio se centran en la validez y oponibilidad de los pactos parasociales en cooperativas. En primer lugar, se identifica que la rigidez normativa y la estricta calificación registral limitan la inclusión de cláusulas que favorezcan la flexibilidad corporativa. En segundo lugar, se constata que los pactos parasociales, firmados por todos o algunos socios y ocasionalmente por la sociedad, se utilizan para superar restricciones y bloqueos en la gestión societaria. En tercer lugar, se demuestra que estos acuerdos buscan ofrecer soluciones específicas relacionadas con el funcionamiento, la organización y la actividad empresarial. Finalmente, se resalta la importancia de estos pactos para adaptar las relaciones corporativas a un entorno globalizado y competitivo.
